Terms of Service

These terms govern your use of the website and services (the "Service") operated by QVEX PAYMENTS LIMITED ("QVEX", "we", "us"), company no. 17338041, registered in England & Wales. By using the Service you agree to them.

1. The Service

QVEX provides merchants with a bank-to-bank ("pay by bank") checkout. A customer authorises a payment directly with their own bank, and the funds settle to the merchant's own account. QVEX supplies the technical interface, merchant onboarding, reconciliation and reporting that sit around that payment.

2. We do not hold your funds

QVEX does not at any point take possession or control of customer or merchant funds. Money moves directly from the payer's bank to the merchant's account. We do not operate a wallet, we do not hold client money, and we do not hold e-money on your behalf.

3. Regulated services and third-party providers

The regulated payment initiation underlying the Service is carried out by third-party providers authorised for that purpose. Your use of the Service is therefore also subject to those providers' own terms, and their availability is outside our control.

4. Eligibility

The Service is provided to businesses only. It is not offered to consumers acting outside a trade or profession. You must be at least 18 years old and authorised to enter into these terms on behalf of your business.

5. Merchant obligations

You agree to: provide accurate and complete information during onboarding and keep it up to date; supply information and documents we reasonably require to meet our legal and regulatory obligations; use the Service only for lawful business activity; hold and maintain any licence or authorisation your activity requires; not use the Service for any activity we notify you is prohibited; and not misuse, reverse engineer or attempt to gain unauthorised access to the Service.

6. Fees

Fees are those agreed with you in writing before you begin using the Service. Unless agreed otherwise, fees accrue on each successfully completed payment and are payable by the merchant. We will give reasonable notice of any change to fees.

7. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access where we are required to by law or by a provider, where we reasonably suspect fraud, unlawful activity or a breach of these terms, or where continuing would expose us to legal or regulatory risk. We will tell you where we are permitted to do so.

8. Availability

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service depends on banks and third-party providers whose systems may be unavailable from time to time.

9. Limitation of liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that, we are not liable for loss of profit, revenue, business, goodwill or data, or for indirect or consequential loss; and our total liability arising out of the Service in any twelve-month period is limited to the fees you paid us in that period.

10. Changes to these terms

We may update these terms. The date above shows when they last changed, and we will notify merchants of material changes.

11. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
